WEB DESIGN AGREEMENT

This Web Design Agreement (“Agreement”) is entered into as (“Effective Date”) by and between:

  1. SCOPE OF SERVICES

Designer agrees to provide custom website design and development services for a single-page luxury website. The project includes:

DESIGN ELEMENTS:

  • Custom branded design aligned with Client’s visual identity and brand guidelines
  • Mobile-first responsive design optimized for all devices (desktop, tablet, mobile)
  • Professional typography implementation with web-safe font pairings
  • Custom color palette integration per brand specifications
  • High-resolution imagery optimization and implementation

INTERACTIVE FEATURES:

  • Animated page loader with brand elements
  • Smooth scroll navigation with fixed/floating header
  • Logo switching on scroll (light/dark versions)
  • Image gallery with full-screen lightbox functionality
  • Interactive quiz or form functionality
  • Scroll-triggered fade-in animations
  • Mobile hamburger menu navigation
  • Floating call-to-action footer bar
  • Third-party chat widget integration (if applicable)

TECHNICAL IMPLEMENTATION:

  1. PROJECT TIMELINE

Designer will use reasonable efforts to complete the project according to the following timeline:

  • Design Concept: _ business days from receipt of all required materials

  1. PAYMENT TERMS

Total Project Fee: $495

Payment Schedule:

  • Payment: 100% ($495) due upon project completion and before launch

Payment Methods Accepted: Bank Transfer / Credit Card / PayPal / Check

  1. CLIENT RESPONSIBILITIES

Client agrees to provide the following within _ business days of Agreement execution:

  • All text content, copy, and written materials
  • High-resolution logo files and brand assets
  • Brand guidelines (if available)
  • High-quality photographs and images
  • Domain and hosting credentials (if applicable)
  • Timely feedback and approvals within _ business days
  1. REVISIONS & CHANGES

Included Revisions: This Agreement includes 3 rounds of design revisions.

Additional Revisions: Additional revisions beyond the included amount will be billed at $125 per hour.

Scope Changes: Any changes to the project scope after design approval may result in additional charges and timeline adjustments. Such changes require written approval from both parties.

  1. INTELLECTUAL PROPERTY

Ownership Transfer: Upon receipt of final payment, Designer assigns to Client all rights, title, and interest in the final website design and code developed specifically for this project.

Designer Rights: Designer retains the right to display the completed work in portfolios and marketing materials. Designer also retains ownership of preliminary designs, concepts not selected, and any pre-existing tools, libraries, or frameworks used in development.

Client Materials: Client retains all rights to materials provided (logos, images, content). Client warrants they have the right to use all materials provided to Designer.

  1. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary information shared during this project, including but not limited to business strategies, customer information, and technical specifications.

  1. WARRANTY & SUPPORT

Warranty Period: Designer warrants the website will function as specified for _ days following launch. During this period, Designer will fix any bugs or issues at no additional charge.

Ongoing Support: Post-warranty support and maintenance services are available under a separate agreement at $85 per hour or through a monthly retainer.

  1. LIMITATION OF LIABILITY

Designer’s total liability under this Agreement shall not exceed the total fees paid by Client. Designer shall not be liable for any indirect, incidental, special, or consequential damages.

  1. TERMINATION

By Client: Client may terminate this Agreement with written notice. In such event, Client shall pay for all work completed to date. Deposit is non-refundable.

By Designer: Designer may terminate if Client fails to provide required materials or payment within 3 days of due date. Designer retains all payments received and ownership of all work until final payment is received.

  1. GENERAL PROVISIONS
  • Entire Agreement: This Agreement constitutes the entire understanding between the parties.
  • Amendments: Any modifications must be in writing and signed by both parties.
  • Governing Law: This Agreement shall be governed by the laws of the State of Colorado.
  • Independent Contractor: Designer is an independent contractor, not an employee of Client.
